Under US GAAP (ASC 320), held-to-maturity (HTM) classification requires the entity to have both the positive intent and the ability to hold the debt security to maturity. If an entity sells or transfers a significant portion of HTM securities for reasons other than those explicitly permitted, the tainting rule kicks in.

Permitted sales — no tainting:
- Significant deterioration in issuer creditworthiness
- Change in tax law eliminating tax-exempt status
- Major business combination disposing of a segment
- Change in statutory or regulatory requirements
- Sales near maturity (typically within 3 months of maturity or after 85% of principal has been collected)

Impermissible sales trigger three painful consequences:

1. Reclassify the entire remaining HTM portfolio to available-for-sale immediately at fair value, with the difference between carrying amount and fair value recognized in OCI.
2. The entity cannot classify new purchases as HTM for two full fiscal years following the tainting event.
3. Disclosure requirements expand considerably, drawing auditor and SEC scrutiny.

Example — Thorwald Savings Bank classified $1.2B of corporate bonds as HTM. In Q2 they sold $180M to fund an unexpected acquisition. The sale taints the entire $1.2B portfolio. Fair value is $1.15B, so $50M drops from carrying value to AFS with a $50M unrealized loss charged to OCI. For two years, no new HTM designation is permitted.

Under IFRS 9 the concept changed — there is no separate HTM tainting rule because classification is driven by the business model. However, a change in business model (which IFRS 9 says should be 'very infrequent') forces reclassification prospectively without retroactive restatement.
