2) Growth — buying growth when organic expansion is slow or saturated markets block entry. Often cheaper than greenfield investment.

3) Increased market power — reducing competition, achieving pricing power. Antitrust-sensitive and scrutinized.

4) Acquiring capabilities — technology, patents, brands, distribution, or talent that would take years to build.

5) Tax considerations — using NOLs, moving to lower-tax jurisdictions, increasing depreciable basis.

6) Unlocking hidden value — break-up plays where a conglomerate's parts are worth more separated.

7) Diversification — reducing earnings volatility (academic literature casts doubt on this one as shareholder value; diversification is cheaper via portfolios).

8) Bootstrapping EPS — using a high P/E acquirer's stock to buy low P/E targets to mechanically boost EPS (value creation is illusory).

9) Management ego — empire building, hubris. Studies show most large deals destroy shareholder value for the acquirer.
