A total return swap (TRS) on an equity index transfers the entire economic performance of the index — price changes plus dividends — to the receiver in exchange for a funding leg (typically SOFR + spread) paid by the receiver. No shares are actually owned.

Example: Saltmarsh Capital enters a 1-year TRS receiving total return on a large-cap growth index, paying SOFR + 45 bp on $200M notional. At quarter end, if the index returned 3.20% and SOFR + spread averaged 5.30% × 0.25 = 1.325%, net receipt = ($200M × 0.0320) - ($200M × 0.01325) = $6.40M - $2.65M = $3.75M.

Reasons to use TRS over direct ownership:
1. Leverage — initial margin might be 15-25% versus 100% to own the basket. Saltmarsh deploys only $30-50M while controlling $200M exposure.
2. Operational simplicity — no dividend collection, no corporate action processing, no stock borrowing for shorts.
3. Access — some indices or baskets are not easily replicated via cash markets, especially international or thematic baskets.
4. Reg relief — in some jurisdictions TRS positions do not trigger 5% disclosure thresholds (though this has tightened post-Archegos).
5. Tax — offshore funds can avoid withholding on dividends by receiving synthetic equivalents.

Risks are counterparty credit, concentration, and leverage-driven margin calls. Archegos demonstrated how multi-dealer TRS can hide total exposure.
